Hunter, I don't think the 2nd gens necessarily had "problems". The brakes are just not as big and don't work as well as the 3rd gen brakes....or so I hear. I am parroting what I have heard others say and not speaking from personal experience here, though.
I think your on the right track at looking to have the seats re-done. I'm not thrilled with the comfort of my seats either but outside of that, IMO there is no real comparison between the two.
Sure, the 10k you would save on payments is great. How much of that would you need to spend on out of norm maintenance on the '01 versus the lack of funds needed to spend on the same for the '05?

Heres your solution, theres a small lot around here who has had a 02 silver sport 4x4 6spd with every option available and with only 3800 miles for sale since around 2003. They have been asking a little 2 much for it, in my opinion , but it is what it is. Its been in and out of the local trucktrader for a long long long long time. If I find a link to it I will post it. You might find it on the autotrader website, its in south west pa. I myself would stick to the 3rd gen. Better ride, handling, brakes, comfort, power, steering, ect ect.... but, to one there own. Dont get me wrong, I still love the 2nd gens, and the 1stgens for that matter, but When I first got into my 03 I was hooked.
