The Catilytic Converter is a pollution control device where the Resonator is a noise cancelling/limiting device.
(Cat. Converters were only used for a couple of years on the 12 valvers)
As far as the legality of removing the resonator, it depends on your local police and their enforcement of the noise laws.
Most officers don't bother, but then there are others: :

See the linked thread for an example.

The resonator is nothing more than a mini muffler. I took mine off but I kept it around incase I ever have to install a muffler, I will use it. It has a three inch inlet and a four inch outlet so I will put it in where the three inch down pipe goes to four inch for the stacks. You can get in a little trouble depending on where you are taking it off if the muffler falls off too.

The Cat is a device that reduces the amount of emissions through a chemical process, mainly lots of heat. You can get in big trouble for taking it off but like Ed said, it was only used for a few years.

Never could figure out why the inlet to the resonator is 3" and the outlet is 4". Oh well, I solved that problem, I removed it and now whole exhaust is 4" turbo back.

FWIW, My owners manual says "any modification or elimation of any part of the exhaust system is a violation of federal emissions laws". I now have a full 4" exhaust system from the turbo to the tail pipe tip sans the resonator, Magnaflow sends a pipe to fit where it was. You can also get a muffler replacement pipe if requested. UPDATE! I deleted the second post, sorry for the distraction.
