Main problem is tire rubbing on the rear duallies. However, the offset is larger in the '02's than in previous years.
255-85-16 tires can be installed on the '02 3500. However, you can only find them in load range "D", and flex may be a problem with such a tall, skinny, sidewall belt-deprived tire.
265-75-16 tires can fit on an '02 3500. They're the same height as the 235-85-16 tires that come stock, but they're a bit wider. You can't go any wider than these. You can find the 265-75's in load range "E".
Not sure what you mean by the speedo being right. Should be right with 235's. Will be right with the 265's. Will be way slow with the 255's unless you program it.

Thanks for the reply, I am glad to hear the 265's will fit because that's what i really wanted to put on it. With them being the same sidewall dia. as the 235-85's it will not throw off the speedo.
