If you speed (distance) sensor is bad, your SEBC will not allow your transmission to shift into overdrive. The SEBC must receive a reading in order to shift into OD. OF course, if your distance sensor is bad, you will have no reading on your speedo as well.
Other things that can prevent shift into OD:
1) TPS
2) failed thermo-sensor in tranny line or tranny temp of over 273*F
3) Temp reading below 60*F on coolant temp or failed sensor
4) Brake switch out of adjustment or failed
5) activated or failed OD overdrive switch
Any others I missed?

go look at my post under WOT and look at the picture you can fix the not going into overdrive in about 10 min with a volt meter and a two cent cotter pin holding the tps switch at 1.2 volts
