Thumbs down problems: tranny, clutch?

Hi, it's been awhile for me, trucks been running good until this morning. I got out of the driveway and the truck is acting up. Truck was not accelerating and eventhough the engine was reving fine, there were noises coming from below my stick shift. It was like my standard tranny was trying to find a gear along with fluid squirting noises and some whirring noises when trying to accelerate. I never really got it past 2nd gear, it didn't like third at all. Limped it home and parked it. I called a local mechanic and he said it could be my clutch throw-out bearing or tranny issues. I'm hoping to get it looked at tomorrow. I would appreciate any other imput you folks might have. Thank-you!

Wanted to add that I noticed a slight burnt smell when I opened the cab door a few minutes after shutting it down. No fluid leaking underneath.

I had a local mechanic come and take a drive and he was not really able to move the truck. It doesn't help that the vp44 is on it's last legs, found that code last night after a couple instances of power loss over the last couple of weeks. He said there's some serious rattling around in the tranny case and suspects a major problem. He told me to take of one of the covers and have a look at the oil. So I guess I'm likely in for a new NV4500, a new Vp44 (installed by me, yay!) and might as well throw in a sounthbend con ofe while were in there. I may be on the lookout for a rebuilt Nv4500. I'll have a closer look this weekend. Any advice on the tranny would be great! I do tow about 14,000# once every couple of weeks but otherwise I really baby the truck and never push it hard. Must have been the dude that had the truck before me, I've only put on 55,000 km's in the last 3 years, currently has 200,000 km's or 120,000 miles.
